What Does an Indemnification Clause Mean?

An indemnification clause says that if something goes wrong, one party pays the other party's losses, often including legal fees. What matters is who pays, for which events, and up to what amount.

What does the clause do?

Say a client is sued over something in your work, for example a photo you supplied. An indemnification clause can make you pay the client's legal costs and any damages. The party who pays is the indemnifier, and the party who is protected is the indemnitee.

The clause does not stop anyone from suing. It decides who carries the cost afterward.

Does it run one way or both ways?

Bad"Contractor shall indemnify and hold harmless Client from any and all claims."

Better"Each party shall indemnify the other against third-party claims caused by its own breach or negligence."

A one-way clause puts this risk on you. A mutual clause, where each side covers the losses it caused, is a normal thing to ask for.

What triggers it?

Bad"Contractor shall indemnify Client against all claims arising out of or related to this Agreement."

Better"Contractor shall indemnify Client against claims caused by Contractor's breach of this Agreement or negligence."

"Arising out of or related to" is very wide. It can pull in things you did not cause. Tie the duty to your own breach or fault.

Is there a cap, and does it apply here?

Better"Contractor's total liability under this section is limited to the fees paid under this Agreement."

Many contracts cap total liability and then list indemnity as an exception to the cap. In that case the cap does not help you where it matters most. Read the liability section and the indemnity section side by side.

Who pays legal fees and runs the defense?

Look for "including attorneys' fees" and for a duty on the other side to tell you about a claim quickly. Ask for the right to take part in the defense, and for a rule that nobody settles a claim in your name without your written OK.

How long does it last?

Many indemnities carry on after the contract ends; look for words like "survives termination". A duty with no end date can stay with you for years, so ask for one.

Why does it matter for freelancers and small businesses?

A client template often pairs a broad, one-way indemnity with a small fee. If the indemnity has no cap, the possible loss can be far larger than what the project pays.

Some clients ask you to carry professional indemnity (in the US, professional liability) insurance instead, or as well. Ask what cover they want and check the cost before you agree.

When should I ask a lawyer?

Get a review when the indemnity has no cap, covers claims you cannot control, or sits in a contract worth much less than the risk. Do not count on a court to set a one-sided clause aside later. The time to fix it is before you sign. The terms that tend to travel with it are in Freelance contract red flags.

Can an app flag an indemnity clause?

SignArmor reads a contract and lists clauses worth a second look, such as one-sided obligations and penalty terms, in plain English, with a Safety Score from 0 to 100 and a summary. It runs on iPhone and iPad, with a web app too. On iPhone and iPad you pick the contract from Files as a PDF, a DOCX file or an image file. The web app accepts PDF and TXT. A report takes about a minute.

It does not predict how a court would read the clause, and it is not a lawyer. Your file is not uploaded. The text is extracted on your device, and phone numbers, email addresses, account numbers, IDs, names and addresses are masked before it is sent to the AI provider. The first analysis is free and short: the score, the summary and the top red flag. Buying later opens that same report in full, with no new analysis.

FAQ

Does indemnification mean I pay for everything?

No, only for what the clause names. That is why the trigger wording and the cap matter more than the word "indemnify" itself.

Is an indemnification clause negotiable?

Often, yes. Asking for it to be mutual, tied to your own fault and capped is a normal request.

Does it end when the contract ends?

Not always. Many indemnities say they survive termination, and claims can arrive long after the work ends. Look for "survives termination" and ask for an end date.

What does uncapped indemnification mean?

The clause sets no maximum on what you could have to pay. Ask for a cap, for example one tied to the fees paid under the contract.
